GIC Group Calls 1 June 2026 AGM; Board Proposes HK6.00-Cent Total Dividend and Seeks Fresh Issuance & Buy-Back Mandates

Global International Credit Group Limited (GIC Group) has issued its notice of Annual General Meeting (AGM), to be held on 1 June 2026 at 11:00 a.m. in Room 1225, 12/F, Prince’s Building, Central, Hong Kong.

Key items on the AGM agenda are as follows:

1. Financial Statements • Shareholders will vote to receive and adopt the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.

2. Dividend Distribution • The board recommends a final dividend of HK2.40 cents per share and a special final dividend of HK3.60 cents per share, bringing the proposed payout to HK6.00 cents per share for FY 2025. • The share register will be closed from 10 June 2026 to 12 June 2026 to determine dividend entitlements.

3. Board Composition • Re-election of Ms. Yip Lee Ying as Executive Director and Mr. Pao Ping Wing as Independent Non-Executive Director. • Directors’ remuneration will be set by the board subject to shareholder approval.

4. Auditor • BDO Limited is nominated for re-appointment as external auditor, with remuneration to be fixed by the board.

5. Share Capital Authorities • Issuance Mandate: Directors seek authority to allot and issue new shares up to 20 % of the issued share capital (excluding treasury shares). • Repurchase Mandate: Authority to buy back shares up to 10 % of issued share capital (excluding treasury shares). • Extension Mandate: The issuance limit may be increased by the number of shares repurchased under the buy-back mandate.

6. Corporate Governance • A special resolution will be put forward to adopt the Fourth Amended and Restated Memorandum and Articles of Association, incorporating the proposed amendments detailed in the circular dated 30 April 2026.

Administrative Details • Shareholders registered by 4:30 p.m. on 26 May 2026 will be eligible to attend and vote at the AGM; the register will be closed from 27 May 2026 to 1 June 2026. • Proxy forms must be lodged with Boardroom Share Registrars (HK) Limited at least 48 hours before the meeting.
