Black Sesame International Holding Limited will hold its 2026 annual general meeting on 29 June 2026 at 9:30 a.m. in Wuhan, Hubei. Key ordinary and special business to be tabled is as follows:
1. 2025 Financial Statements • Shareholders will vote on the adoption of the audited consolidated results for the financial year ended 31 December 2025, together with the directors’ and auditor’s reports.
2. Board Composition • Re-election of five directors: non-executive director Dr. Yang Lei and independent non-executive directors Prof. Li Qingyuan, Prof. Long Wenmao and Prof. Xu Ming. • The board seeks authority to fix directors’ remuneration.
3. Auditor • PricewaterhouseCoopers is nominated for re-appointment as external auditor for the year ending 31 December 2026 with remuneration to be set by the board.
4. Capital Management Mandates • Share Repurchase: A general mandate authorising the board to repurchase up to 10% of issued shares (excluding treasury shares) during the mandate period. • Share Issuance: A separate mandate allowing the board to allot, issue or transfer treasury shares up to 20% of issued share capital, exclusive of rights issues and employee share schemes. • Extension: Conditional on the above resolutions passing, the issuance mandate may be extended by the number of shares repurchased, effectively adding a further 10%.
5. Constitutional Amendments • Shareholders will consider and, if thought fit, approve the sixteenth amended and restated memorandum and articles of association, reflecting proposed textual updates detailed in the company’s circular dated 5 June 2026.
Administrative Details • Voting will be conducted by poll in accordance with Hong Kong Listing Rules. • The register of members will be closed from 24 June 2026 to 29 June 2026 (both days inclusive); only shareholders on record as of 29 June 2026 may attend and vote. • Proxy forms must be lodged with Tricor Investor Services Limited by 9:30 a.m. on 27 June 2026.
