Dynasty Digital Holdings Limited announced plans to expand its authorised share capital and overhaul its corporate bye-laws.
Key Highlights • Authorised Share Capital: The Board proposes to increase the company’s authorised share capital from HK$250.00 million (3.00 billion shares at HK$0.0834 par value) to HK$500.00 million (6.00 billion shares), creating an additional 3.00 billion unissued shares. • Capital Structure: As of the announcement date, 1.77 billion shares are in issue, leaving 1.23 billion authorised but unissued. The proposed expansion will raise the remaining headroom to 4.23 billion shares, enhancing flexibility for future fund-raising. • Shareholder Approval: The capital increase requires an ordinary resolution at a forthcoming special general meeting (SGM).
Bye-law Modernisation The Board also seeks shareholder approval, via special resolution at the same SGM, to: 1. Amend existing bye-laws to allow the holding of treasury shares. 2. Align governance documents with updated paperless listing and uncertificated securities market regulations. 3. Incorporate related consequential and housekeeping changes. Given the breadth of revisions, the company will adopt an entirely new set of bye-laws, superseding the current version.
Next Steps A circular detailing the proposed capital increase, bye-law amendments, and SGM arrangements will be dispatched to shareholders in due course.
