GC Construction Holdings Limited has received a written requisition from shareholder Global Line Network SDN. BHD., which controls 190.00 million shares, or 19% of the company’s issued share capital, demanding an extraordinary general meeting (EGM) be convened within two months.
The requisition seeks shareholder approval, by special resolution, to: 1. Change the English corporate name from “GC Construction Holdings Limited” to “Wisewin Innotech Group Limited” and adopt “智盈科創集團有限公司” as the dual foreign Chinese name. 2. Replace the current third amended and restated memorandum and articles of association (M&A) with a fourth amended and restated version reflecting the new name.
Implementation of the proposed rebranding is conditional upon: • Shareholder approval at the forthcoming EGM. • Formal endorsement by the Registrar of Companies in the Cayman Islands, after which a certificate of incorporation on change of name will be issued.
Operational and shareholder impact: • Existing share certificates will remain valid after the name change; no free exchange of certificates is planned. • Following regulatory clearance, the company will adopt new English and Chinese stock short names for trading on the Hong Kong Stock Exchange. • The change will not alter shareholder rights, day-to-day operations or the company’s financial position.
A circular detailing the requisition, proposed name change and M&A amendments, together with the EGM notice, will be dispatched “as soon as practicable.” No shareholder is required to abstain from voting on the special resolutions.
Further announcements will disclose the EGM results, the effective date of the new name and the revised stock short names once confirmed.
