Regulatory Inquiry for Changzhou Xingyu's Hong Kong IPO: CSRC Seeks Details on Overseas Investments

The China Securities Regulatory Commission (CSRC) has issued a request for supplementary materials regarding overseas listings filed between May 11 and May 15, 2026. The CSRC's International Department has requested additional information from 14 companies. Among them, Changzhou Xingyu Automotive Lighting Systems Co.,Ltd. (601799.SH) is required to provide further details on the specific fulfillment of regulatory procedures, such as overseas investments and foreign exchange management, involving its overseas subsidiaries.

According to a filing disclosed by the Hong Kong Stock Exchange on January 26, Changzhou Xingyu Automotive Lighting Systems Co.,Ltd. submitted an application for a main board listing in Hong Kong, with Huatai International as its sole sponsor.

The CSRC has requested Changzhou Xingyu to supplement the following information, requiring legal counsel to verify and provide a clear legal opinion: 1. Provide additional details on the specific fulfillment of regulatory procedures, including overseas investments and foreign exchange management, involving the company's overseas subsidiaries, and issue a conclusive opinion on compliance. 2. Provide supplementary information on the approval, ratification, or filing status of overseas investment for the overseas fundraising projects.

According to the prospectus, based on 2024 sales revenue, Changzhou Xingyu is the largest and a globally leading provider of automotive lighting products in China. The company is committed to offering safe, technologically advanced, and intelligent automotive lighting and related electronic components to the global automotive market through innovative technology and smart manufacturing. As of the latest practicable date (January 20, 2026), the company has established cooperative relationships with nine of the world's top ten vehicle manufacturers (based on 2024 group-level sales).

The company focuses on the design, development, manufacturing, and sales of automotive lighting products, building automotive intelligent vision systems centered on vehicle lighting. It is also gradually transferring its accumulated smart manufacturing capabilities to the field of embodied intelligence.
