Xizang Zhihui Mining Co., Ltd. (Zhihui Mining) filed its Monthly Return with the Hong Kong Stock Exchange for the period ended 31 July 2026, detailing a large-scale share conversion that reshaped its capital structure.

Key transaction • On 22 July 2026, 365.85 million domestic shares were converted into an equal number of H shares and listed in Hong Kong on 23 July 2026. • No new cash proceeds, options, warrants, convertibles or treasury-share movements were involved.

Impact on authorised and issued capital • Authorised/registered H-share capital expanded from 121.95 million to 487.81 million shares, while the domestic-share class was reduced to zero. • Issued H shares rose in tandem to 487.81 million, fully offsetting the removal of the domestic-share count. • Overall authorised and issued share capital now stands at 487.81 million shares with a par value of RMB 1.00 each.

Public-float compliance Zhihui Mining confirmed that the post-conversion share mix continues to meet the Main Board’s minimum 25% public-float requirement.
