Ritamix Global Limited (Ritamix, 01936) and Innovation Forge Holdings Limited (Innovation Forge) have jointly announced a postponement in sending out their composite offer and response document related to the pending unconditional mandatory general cash offer for all Ritamix voting shares not already held by Innovation Forge and parties acting in concert with it.
Under Rule 8.2 of the Hong Kong Takeovers Code, the composite document—combining the offeror’s circular, the offeree’s board circular, the Independent Board Committee’s recommendation and the Independent Financial Adviser’s opinion—was originally required to be despatched by 16 Oct 2026, i.e. within 21 days of the 25 Sep 2026 joint announcement.
The parties now state that “additional time is required” to satisfy the conditions precedent linked to completion of the underlying Sale and Purchase Agreement. Consequently, they have sought, and the Securities and Futures Commission’s Executive is “minded to grant,” an extension. The revised deadline mandates dispatch no later than the earlier of (i) seven days after completion of the share purchase or (ii) 11 Nov 2026.
The cash offer will only be launched upon completion of the agreed acquisition of all Sale Shares, and such completion remains subject to outstanding conditions that may be fulfilled or waived. Until the composite document is received, Ritamix’s Independent Board Committee and its Independent Financial Adviser will not issue their formal views on the offer. Shareholders are therefore urged to exercise caution when dealing in Ritamix securities.
The joint announcement was authorised by Ms. Jupeng Zeng, sole director of Innovation Forge, and Dato’ Sri Lee Haw Yih, Chairman and Executive Director of Ritamix. Further updates will be released once the composite document is dispatched.
