HANS CNC Schedules 31 July 2026 EGM to Vote on Capital Change, Use of Surplus Proceeds and Switch to PRC Accounting Standards

Shenzhen Han’s CNC Technology Co., Ltd. (HANS CNC) will convene its 2026 Second Extraordinary General Meeting (EGM) at 9:30 a.m. on Friday, 31 July 2026, in Meeting Room A01, Zone 1, 7/F of Building 3, Han’s Laser Intelligence Manufacturing Center, Bao’an District, Shenzhen.

Key agenda items:

1. Capital and constitutional adjustments • Special resolution to approve an increase in registered capital, the corresponding amendments to the Articles of Association, and subsequent industrial and commercial registration procedures.

2. Treatment of share-issue proceeds • Ordinary resolution to conclude outstanding A-share proceeds-funded projects. • Approval to permanently reallocate surplus proceeds to working capital and close related special bank accounts.

3. Accounting policy change and auditor termination • Ordinary resolution to adopt China Accounting Standards for Business Enterprises for future financial reporting. • Termination of the overseas financial report auditor in line with the new accounting framework.

Shareholder logistics:

• Record date: H-shareholders registered by Friday, 31 July 2026 may attend and vote. • Share transfer closure: 28–31 July 2026 (both dates inclusive); transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 27 July 2026. • Proxy submission deadline: 9:30 a.m. on 30 July 2026.

The meeting will be conducted by poll. Directors, senior management, appointed legal advisers and relevant staff are expected to attend. All attendee expenses are to be borne personally. Further details are available in the circular dated 13 July 2026.
