CHICMAX Executes Seventh RSU Grant—49,642 Units Issued to Two Key Employees

Bulletin Express10-08

Shanghai Chicmax Cosmetic Co., Ltd. (CHICMAX) announced its seventh round of restricted share unit (RSU) grants on 8 October 2026, distributing 49,642 RSUs—equal to 0.02% of the company’s issued share capital—to two Group employees.

The awards, priced at RMB 1.00 per RSU against a market price of HK$21.12 per share on the grant date, vested immediately. After deducting statutory taxes, 40,986 RSUs were delivered to the recipients. Vesting remained contingent on each employee having achieved a performance appraisal score of at least 90 in the preceding financial year and meeting all eligibility conditions outlined in the RSU Scheme Rules.

A comprehensive claw-back framework applies, enabling CHICMAX to cancel or reclaim awards if grantees are dismissed for serious misconduct, join a competitor, breach regulatory or corporate rules, or cause demonstrable losses to the company. No financial assistance was provided to facilitate the share acquisition.

Following this issuance, 39.35 million shares remain available for future grants under the RSU Scheme, which is capped at 39.80 million new shares under the Stock Exchange-approved Scheme Mandate Limit. To date, CHICMAX has allotted 368,713 new shares—representing roughly 0.93% of the mandate—through earlier RSU distributions executed between June 2024 and July 2026.

Management reiterated that the RSU Scheme is designed to recognise past contributions, incentivise future performance, and retain critical talent to support the Group’s long-term growth objectives.
