Nexchip Cancels Auditor Reappointment Resolution Ahead of 2026 First EGM

Bulletin Express10-16

Nexchip Semiconductor Corporation (Nexchip) has removed Resolution No. 5—relating to the reappointment of its auditors—from the agenda of its 2026 first extraordinary general meeting (EGM) scheduled for 22 October 2026 in Hong Kong.

The withdrawal stems from the Administrative Measures for the Selection and Appointment of Accounting Firms by State-owned Enterprises and Listed Companies, which limit the maximum consecutive tenure of an external auditor. Nexchip’s current financial-statement and internal-control auditor, RSM China CPA LLP (RSM), and its H-share listing auditor, Rongcheng (Hong Kong) CPA Limited, have completed their audit of the company’s 2025 accounts, satisfying existing contractual obligations.

Nexchip’s board confirmed there are no disagreements or unresolved matters with either RSM or Rongcheng Hong Kong regarding the cancellation. Both audit firms likewise reported no issues requiring shareholder or creditor attention. The board expressed its appreciation for the auditors’ past services and will initiate a new tender process in line with the Administrative Measures and Hong Kong Listing Rules.

All other items listed in the 30 September 2026 EGM notice and circular remain unchanged and will proceed to a vote as planned. Previously submitted proxy forms will stay valid, though votes related to the cancelled Resolution No. 5 will neither be polled nor counted.
