Keep Inc. (HKEX: 03650) disclosed that it bought back 78,100 ordinary shares on 9 July 2026 via on-market transactions, expanding its treasury shareholding to 11.12 million shares.
• Transaction details: The latest repurchase equates to 0.02% of Keep’s outstanding shares (excluding treasury shares). Following the buyback, the company’s issued share capital (excluding treasury shares) fell to 499.16 million, while total issued shares remained unchanged at 510.28 million.
• Pricing and cost: Shares were acquired in a price range of HKD 1.96–2.01, for a total consideration of HKD 0.15 million.
• Utilisation of mandate: Since receiving shareholder approval on 4 June 2026 to repurchase up to 50.24 million shares, Keep has bought back 3.26 million shares—about 0.65% of the shares outstanding on the mandate date.
• Pending cancellations: As at 9 July 2026, 3.52 million previously repurchased shares (from transactions executed between 6 January and 15 April 2026) remain in treasury awaiting cancellation.
Keep’s board affirmed that all repurchase activities complied with Hong Kong listing rules and relevant regulatory requirements. A 30-day moratorium on new share issues or treasury-share sales remains in effect until 8 August 2026.
