IDT International Limited (IDT International) and Horizon Heights Ltd. jointly announced a second postponement in sending out the composite document related to the mandatory unconditional cash offer for all IDT International shares not already held by Horizon Heights and its concert parties. The Securities and Futures Commission’s Executive has indicated it is inclined to grant consent to move the dispatch deadline from 10 Aug 2026 to on or before 31 Aug 2026.
Key factors behind the requested extension: 1. Completion of the Independent Financial Adviser’s letter to the Independent Board Committee regarding the offer terms. 2. Inclusion of an updated statement on any material changes in the Group’s financial or trading position, reflecting information to be released in the company’s interim results for the six months ended 30 Jun 2026. 3. Finalisation of updated interim financial data for incorporation into the composite document.
Both parties will issue further announcements once the composite document and accompanying form of acceptance are ready or if there are any adjustments to the expected timetable.
The sole director of Horizon Heights, Ms. Shen Jingwei, accepts full responsibility for the accuracy of information pertaining to the Offeror, while IDT International’s Board—comprising three executive and three independent non-executive directors—assumes responsibility for the remainder of the disclosure.
In case of discrepancy, the English version of the announcement prevails.
