China Merchants Securities (6099) Publishes 2025 Second Extraordinary General Meeting Notice

China Merchants Securities Co., Ltd. (Stock Code: 6099) has announced that its 2025 second extraordinary general meeting (EGM) will be held on Friday, December 19, 2025, at 10:00 a.m. at China Merchants Securities Building, No. 111 Fuhua Yi Road, Futian District, Shenzhen, Guangdong Province, the People’s Republic of China. According to the notice, only holders of H shares registered on the Company’s H shares register by Monday, December 15, 2025, and recorded on December 19, 2025, may attend and vote at the meeting.

The special resolution to be presented includes the dissolution of the Supervisory Committee and related amendments to multiple policies, such as the Articles of Association and the Rules of Procedures for the Shareholders’ General Meetings, Board Meetings, and Independent Directors. Additional proposed changes include revisions to the selection and appointment guidelines for accountants’ firms, as well as the repeal of the Rules of Procedures for the Supervisory Committee.

The EGM will proceed by poll for the proposed resolution in accordance with relevant regulations. Shareholders or their proxies who wish to attend are required to follow standard registration and proxy procedures described in the notice. Further details of the proposal are available in the circular dated November 28, 2025, issued by the Company. The Company has also provided contact information for both its Hong Kong H share registrar and its general office in Shenzhen for additional inquiries or lodging documents before the meeting.
