TOMO Holdings Sets 5 June 2026 AGM; Key Votes Cover Director Re-election, Share Mandates and Articles Overhaul

TOMO Holdings Limited has issued a proxy form convening its Annual General Meeting for 11:00 a.m. on Friday, 5 June 2026 at 22/F, Euro Trade Centre, 13–14 Connaught Road Central, Hong Kong.

The agenda comprises seven resolutions:

1. Financial Reporting • Shareholders will consider and adopt the audited financial statements, directors’ report and independent auditor’s report for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of two executive directors—Mr. Lu Yongde and Mr. Yuan Qinghua—and three independent non-executive directors—Mr. Liu Wuhui, Mr. Ma Zhangkai and Ms. Zhu Xiaoxin. • Authorisation for the board to fix directors’ remuneration.

3. Auditor • Re-appointment of ZSZH (HK) Fuson CPA Limited as external auditor, with board-determined remuneration.

4. Share Capital Authorities • General mandate to allot, issue and deal with additional shares. • General mandate to repurchase issued shares. • Extension of the issue mandate to include shares repurchased under the above authority.

5. Corporate Governance • Special resolution to adopt amended and restated Articles of Association, replacing the existing version in full.

Administrative Notes • Proxy forms and related authorities must reach Tricor Investor Services Limited (17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong) at least 48 hours before the meeting. • Holders may appoint one or more proxies; if no proxy is named, the Chairman of the Meeting will act by default.

The resolutions collectively address financial reporting, board continuity, auditor oversight, capital management flexibility and governance structure updates ahead of the 2026 financial year.
