Datang Power Issues Proxy Form for 2025 AGM; Shareholders to Vote on Profit Distribution, Auditor Appointments and Director Election

Datang International Power Generation Co., Ltd. (Datang Power) has released the proxy form for its 2025 Annual General Meeting (AGM), set for 10:00 a.m. on 26 June 2026 at the company’s head office, 9 Guangningbo Street, Xicheng District, Beijing.

Key items on the agenda include eight ordinary resolutions and one cumulative-voting resolution:

1. 2025 Board Work Report, incorporating the report from independent non-executive directors.

2. Final Financial Report for 2025.

3. Profit Distribution Proposal for 2025.

4. Authorisation for the Board to determine the interim profit distribution proposal for 2026.

5. Appointment of an accounting firm for the 2026 financial-report audit.

6. Appointment of an accounting firm for the 2026 internal-control audit.

7. Adoption of Remuneration Management Measures for directors and senior management.

8. Approval of directors’ remuneration for 2025 and the remuneration plan for 2026.

9. Election of Mr. Song Bo as an executive director of the twelfth Board session (cumulative voting).

Shareholders may appoint the meeting Chairman or another proxy to vote on their behalf. Completed proxy forms, together with any power of attorney or other authority, must reach Computershare Hong Kong Investor Services Limited no later than 24 hours before the AGM.

The proxy form allows shareholders to indicate “For,” “Against,” or “Abstain” for each resolution; failure to mark a choice will give the proxy discretion in voting. The cumulative-voting procedure for Resolution 9 grants each shareholder votes equal to shares held multiplied by the number of executive-director positions open, with results determined by a majority of votes cast.
