Riverine China Holdings Limited has released a revised Terms of Reference for its Nomination Committee, effective 28 April 2026. Key points are as follows:
• Governance refresh: The committee, first formed on 15 November 2017 and previously updated on 31 January 2019, has undergone a second revision to align with the latest requirements in Appendix C1 of the Hong Kong Listing Rules.
• Diversity compliance: In line with Code Provision B.3.5, Ms Wang Hui has been appointed to the committee, introducing gender diversity among members.
• Committee composition: The body now comprises five directors—Mr Xiao Xingtao (Committee and Board Chairman), Ms Wang Hui, and three independent non-executive directors (Mr Cheng Dong, Mr Shu Wa Tung Laurence, and Mr Weng Guoqiang). A majority of members remain independent non-executive directors, satisfying Rule 3.27A.
• Operating parameters: – Minimum three members, with a quorum of two including the chairman. – Empowered to access company information, seek independent professional advice, and enlist external experts when needed. – The company secretary, or delegate, acts as committee secretary.
• Core mandates: – Annual review of Board structure, size, composition, and diversity, supported by a board skills matrix. – Identification and recommendation of suitably qualified director candidates, with explicit consideration of diversity attributes. – Assessment of independent non-executive directors’ independence. – Oversight of director appointment, re-appointment, and succession planning, particularly for the chairman and chief executive. – Support for regular Board performance evaluations.
• Shareholder disclosures: When proposing a new independent non-executive director, the committee must explain the candidate’s suitability, independence, contribution to Board diversity, and—until 30 June 2028—ability to commit time if holding seven or more listed directorships.
These enhancements aim to bolster transparency, ensure structured succession planning, and advance diversity at the Board level, positioning Riverine China for sustained governance effectiveness.
