Ruixin International appoints Grand Moore and Frontpage Capital as joint independent advisers; shares remain suspended

Ruixin International Holdings Limited on 26 March 2026 announced the appointment of Grand Moore Capital Limited and Frontpage Capital Limited as Joint Independent Financial Advisers. Both firms are licensed under the Hong Kong Securities and Futures Ordinance for Type 1 (dealing in securities) and Type 6 (advising on corporate finance) activities.

The advisers will evaluate and opine on the fairness and reasonableness of six inter-related proposals: the Share Subscription, FA Share Subscription, Convertible Bond (CB) Subscription, Specific Mandate, Whitewash Waiver and Special Deal. Their engagement, endorsed by the Independent Board Committee in accordance with Rule 2.1 of the Takeovers Code, aims to guide the committee and independent shareholders on voting decisions. A detailed circular, containing the advisers’ letter and the committee’s recommendations, will be dispatched to shareholders in due course.

Trading in Ruixin International’s shares has been suspended since 9:00 a.m. on 2 September 2024 and will remain halted until the company satisfies the Hong Kong Stock Exchange’s resumption guidance. The board advises shareholders and potential investors to exercise caution when dealing in the company’s securities.

The current board comprises Chairlady Ms. Li Yang and executive director Mr. Yang Junjie, alongside independent non-executive directors Mr. Zhang Jue, Ms. Zhang Xiaofen and Mr. Zhu Lianhai.
