MINTH GROUP's Subsidiary Enters Framework Agreement with MIRLE to Establish Joint Venture for Smart Robotics and Robotic Dogs

On April 15, 2026, MINTH GROUP (00425) announced that its subsidiary, Precision Industry, has entered into a framework agreement with MIRLE. The agreement outlines a proposed strategic cooperation and the establishment of one or more joint venture companies. The framework sets forth the preliminary cooperation structure between the parties. Detailed terms for the proposed joint venture(s), including the capital contribution schedule, governance arrangements, and other implementation details, are subject to further negotiation and the execution of formal agreements.

MIRLE is a company incorporated in Taiwan, with its shares listed on the Taiwan Stock Exchange (Stock Code: 2464). MIRLE is primarily engaged in the design, development, manufacturing, and sales of automation equipment and systems. Its main products and services include semiconductor automation systems, development of smart robots and robotic dogs, intelligent automation application systems, AI digital technology products and services, industrial controllers, and other automation-related products and services. MIRLE possesses core technical capabilities in semiconductor automation system integration and the development of smart robots and robotic dogs. Through the proposed cooperation, MIRLE is expected to contribute its automation system integration experience and robotics-related technical expertise to the proposed joint venture(s) and related project collaborations.

The Group strategically prioritizes the development and commercialization of robotics-related products, including the R&D, production, and manufacturing of core robotic components, modular products, and complete robotic systems. The Group believes that smart robots and robotic dogs represent a significant future industrial sector with potential applications in manufacturing, logistics, inspection, security, services, and other commercial scenarios.

The proposed cooperation combines Precision Industry and the Group's solid foundation and manufacturing capabilities within the global automotive parts supply chain with MIRLE's core technologies in semiconductor automation system integration and the development of smart robots and robotic dogs. Through this proposed collaboration, both parties aim to achieve deep integration in the R&D, manufacturing, and multi-scenario application of complete smart robotic systems. This is intended to leverage their complementary industrial strengths to jointly seize opportunities in the global smart automation and robotics industry.

The Board of Directors believes that the framework agreement provides the Group with an opportunity to further expand its footprint in the smart robotics field, deepen cooperation with existing automation system integration partners, and explore new commercial opportunities in the R&D, manufacturing, and sales of smart robots and robotic dog systems. The Board considers that entering into the framework agreement aligns with the Group's long-term development strategy and serves the overall interests of the Company and its shareholders.
