DTECH’s 2026 Second EGM: Share Issuance & Buy-Back Mandates, Mid-Year Dividend Plan and Full Board Re-election

Guangdong Dtech Technology Co., Ltd. (DTECH) has released the agenda for its second Extraordinary General Meeting (EGM) of 2026, scheduled for 2:30 p.m. on Tuesday, 15 September 2026, at the company’s headquarters in Dongguan, Guangdong Province.

Key special resolutions: • Amendments to the Articles of Association. • A new general mandate authorising the Board to issue H shares. • A parallel mandate empowering the company to repurchase its own H shares.

Key ordinary resolutions: • Profit distribution plan for 1H 2026. • Re-appointment of the existing domestic accounting firm for the 2026 fiscal year. • Uniform adoption of China Accounting Standards for Business Enterprises and termination of the overseas financial reporting auditor’s engagement. • Authorisation to deploy idle self-owned funds for cash management.

Board restructuring: • Election of four executive (non-independent) directors—Wang Xin, Wang Junfeng, Wang Xuefeng and Lin Xia. • Election of three independent non-executive directors—Dr. Huang Hui, Li Qiong and Dr. Luo Shuzhang. Voting on director appointments will follow the cumulative voting system, allowing shareholders to concentrate or split their votes across candidates.

Shareholders of both A-share and H-share classes may appoint proxies. Valid proxy forms must reach Tricor Investor Services Limited (for H-shareholders) or the company’s PRC office (for A-shareholders) no later than 2:30 p.m. on 14 September 2026.
