On Monday, computer hardware stocks declined broadly, with Super Micro Computer Inc. (SMCI.US) falling nearly 5%, Dell Technologies Inc. (DELL.US) dropping close to 4%, and Hewlett Packard Enterprise Co. (HPE.US) sliding more than 2%.
Regarding recent developments, Dell's major shareholders have been reducing their holdings intensively. Silver Lake Group submitted a Form 144 restricted stock sale notice, intending to sell 4,788 shares of Class C common stock, with the shares originating from a previous pro-rata in-kind distribution. Silver Lake co-CEO and Dell director Egon Durban also filed a similar Form 144 notice, planning to sell 1,800 shares of Class C common stock. Records also show that multiple affiliated entities under Silver Lake have collectively sold 2,048,079 shares of Dell Technologies over the past three months. Such continuous disclosures tend to attract market attention, as reduction arrangements by major shareholders are often interpreted by investors as increased short-term supply pressure, or at least as a sign that some long-term holders are adjusting their asset allocation.
On the management side, there has also been relatively frequent shareholding activity. Dell Technologies Chief Financial Officer David Alan Kennedy disclosed that on September 17 he reduced his holdings by a total of 23,896 shares of common stock through two transactions, and still directly holds 159,201 shares afterward. General Counsel and Corporate Secretary Richard J. Rothberg also sold 4,000 shares of common stock on the same day, directly holding 132,415 shares afterward. Other disclosures show that the company recently recorded 79 insider transactions, including multiple sale records from shareholders holding more than 10% of the company.
