Robotphoenix Intelligent Technology Co., Ltd. will hold its 2025 annual general meeting (AGM) on 29 June 2026 at its Yuhuan, Zhejiang headquarters. Key items up for shareholder approval are:
1. Adoption of 2025 financial statements • The accountant’s report for the year ended 31 December 2025—previously disclosed in the prospectus dated 8 May 2026—will be presented for formal adoption.
2. Re-appointment of external auditor • The Board proposes to re-appoint Ernst & Young as auditor for the financial year ending 31 December 2026. • Audit fees are estimated at RMB 2.40 million–2.70 million, reflecting the Group’s operational scale and audit scope.
3. General mandate to issue new shares • Directors seek authority to issue, allot or deal with new shares (including any disposal of treasury shares) up to 20% of the Company’s existing issued share capital. • Based on 244.95 million H shares in issue as at 5 June 2026 and no treasury shares, the mandate would permit issuance of up to approximately 48.99 million H shares. • The mandate will remain effective until the earlier of: – the next AGM; – 12 months from the date of approval; or – revocation/variation by shareholders.
4. General mandate to repurchase shares • The Board also requests authority to buy back up to 10% of the total H shares in issue, equating to a maximum of about 24.50 million shares. • Any repurchase would be funded from internal resources, comply with PRC regulations, SAFE approvals and Hong Kong Listing Rules, and would not proceed to an extent that materially weakens working-capital or gearing levels. • The mandate carries the same expiry conditions as the issue mandate.
Key meeting logistics • Shareholders recorded on the register by 4:30 p.m. on 23 June 2026 are entitled to attend and vote; the register will be closed from 24–29 June 2026 (both dates inclusive). • Proxy forms must reach Tricor Investor Services Limited by 2:00 p.m. on 28 June 2026. • All AGM resolutions will be decided by poll.
The Board recommends shareholders vote in favour of all proposed resolutions.
