INT Medical Awards 1.82 Million H Shares to Chairman Dr. Liang Under Existing Share Scheme

Bulletin Express10-12

Shanghai INT Medical Instruments Co., Ltd. announced that on 12 October 2026 its board granted 1.823 million H shares to Chairman, Executive Director and General Manager Dr. Liang Dongke under the company’s H Share Award and Trust Scheme adopted in 2022. Added to the 33,400 shares granted on 28 June 2026, Dr. Liang’s cumulative allocation reaches 1.856 million shares, comfortably within his shareholder-approved individual ceiling of 5.21 million shares.

The shares were purchased on-market by the scheme trustee at HK$25.94 each, compared with the HK$32.36 closing price on the last trading day before the grant. The new award represents approximately 0.86 % of the company’s 211.20 million H shares in issue, involves no new share issuance and therefore causes no dilution to existing holders.

Vesting is staggered over three years—30 % after 24 months and the remaining 70 % after 36 months—subject to service continuity, individual performance at a “qualified” level or above, and company-wide growth targets benchmarked to 2025 results (≥10 % revenue or net-profit growth in 2026, ≥20 % in 2027, and ≥30 % in 2028). All unvested shares lapse if conditions are unmet, and a claw-back mechanism allows forfeiture of vested shares in cases of misconduct causing corporate loss.

Under the scheme limit of 10.42 million shares, the trustee has so far acquired 4.36 million shares. Following the latest grant, 2.50 million shares remain available for future awards, and the trustee may still purchase up to 6.06 million additional shares within the approved cap.

The grant constitutes part of Dr. Liang’s remuneration package and is fully exempt from shareholder approval and connected-transaction requirements under Hong Kong Listing Rules. The board, including independent non-executive directors, approved the award; Dr. Liang and his associate abstained from voting.
