Geekplus Sets 26 May 2026 for 2025 AGM, Seeks 20% Issuance and 10% Buy-back Mandates

Beijing Geekplus Technology Co., Ltd. (Geekplus) will convene its 2025 Annual General Meeting (AGM) on 26 May 2026 at 2:00 p.m. in Beijing. Shareholders will vote on five ordinary resolutions and three special resolutions that collectively cover reporting, remuneration, auditor re-appointment, amendments to the Articles of Association, and dual capital mandates.

Ordinary Resolutions • Approval of the 2025 Board Report, audited consolidated financial statements and annual report. • Authorisation for the Board to set directors’ remuneration. • Re-appointment of KPMG Hong Kong as external auditor for 2026, with the Board empowered to negotiate fees and sign related agreements.

Special Resolutions • Amendments to the Articles of Association. • General mandate allowing the Board to issue, allot or deal with H-shares—whether existing treasury shares, new shares, or convertible securities—up to 20 % of total H-shares in issue (excluding treasury shares) as at the AGM date. The mandate lasts until the earlier of the next AGM or formal revocation/amendment by shareholders. • General mandate authorising the Board to repurchase up to 10 % of the total H-shares in issue (excluding treasury shares) during the same mandate period. The Board may cancel repurchased shares, hold them as treasury shares, and execute any necessary capital or Articles adjustments.

Procedural Details • All resolutions will be decided by poll in compliance with Hong Kong Listing Rules. • The H-share register will be closed from 20 May 2026 to 26 May 2026 (both dates inclusive) for share-transfer registration. Holders wishing to vote must lodge transfer documents by 4:30 p.m. on 19 May 2026. • Shareholders may appoint one or more proxies; completed proxy forms must reach Computershare Hong Kong Investor Services Limited by 2:00 p.m. on 25 May 2026.

Board Composition As of the notice date, Geekplus’ Board comprises four executive directors, four non-executive directors and four independent non-executive directors, chaired by Founder and CEO Zheng Yong.

The AGM agenda positions Geekplus to refresh its capital-management flexibility while securing shareholder approvals for routine governance matters and auditor continuity.
