Tasty Concepts Holding Limited has released its circular for the 2026 Annual General Meeting (AGM), scheduled for 30 September 2026 at 1:00 p.m. in Central, Hong Kong.
Key proposals to be put to shareholder vote include:
1. Board composition • Re-election of Executive Director Ms Sung Kwan Wun and Independent Non-executive Director Ms Li Mingrong. • Both directors have three-year service contracts and received FY 2025/26 remuneration of HK$0.19 million and HK$0.12 million respectively.
2. Auditor • Re-appointment of McMillan Woods (Hong Kong) CPA Limited as external auditor until the next AGM.
3. Share buy-back mandate • Authorises the Board to repurchase up to 10% of issued shares (maximum 19.25 million shares) during the mandate period, based on the current issued share capital of 192.50 million shares.
4. Share issuance mandate • Grants authority to issue new shares up to 20% of issued capital (maximum 38.50 million shares). • Includes a refresh mechanism allowing the issuance limit to be increased by the number of shares repurchased under the buy-back mandate.
5. Administrative details • Share register will be closed from 25 September 2026 to 30 September 2026 (both dates inclusive). • Shareholders must lodge transfer documents by 4:30 p.m. on 24 September 2026 to qualify for AGM attendance and voting. • All AGM resolutions will be decided by poll in accordance with GEM Listing Rules.
The Board states it has no immediate plans to repurchase or issue shares under the proposed mandates. Shareholders are advised to return proxy forms at least 48 hours before the meeting if they cannot attend in person.
