On December 24, UBTECH announced its intention to acquire a total of 93,957,518 shares (representing 43% of the total shares) of Shenzhen-listed company Zhejiang Fenglong Electric Co.,Ltd. through a combination of "agreed transfer + tender offer." According to the announcement, both the share transfer price and the tender offer price in this control change plan are set at 17.72 yuan per share, resulting in a total consideration of approximately 1.665 billion yuan.
Zhejiang Fenglong Electric Co.,Ltd., recognized as a specialized and sophisticated "Little Giant" enterprise and a high-tech company, has long focused on the R&D and manufacturing of garden machinery such as lawn mowers, as well as engines, hydraulic control systems, and automotive parts. It possesses solid precision manufacturing capabilities, a mature supply chain system, and a broad customer base. Notably, UBTECH recently won new bids for the Humanoid Robot Greater Bay Area Data Collection Center project in Huiyang District, Huizhou City, and the Embodied Intelligence Technology Center equipment procurement project in Hohhot, with winning amounts of 59.62 million yuan and 77.8 million yuan respectively, totaling over 130 million yuan.
In 2025, the total value of orders for UBTECH's humanoid robots has approached 1.4 billion yuan, maintaining its leading position in the global humanoid robotics industry. On December 26, the 1,000th unit of the Walker S2 rolled off the production line at the Liuzhou Robot Super Smart Factory, achieving an annual production capacity of a thousand units for the year. It is projected that by 2026, UBTECH's annual production capacity for humanoid robots will reach a scale of ten thousand units.
