China Lesso Sets AGM for 28 May 2026; Proposes HK$0.20 Final Dividend and New Share Mandates

China Lesso Group Holdings Limited will convene its 2026 Annual General Meeting on 28 May 2026 at 10:00 a.m. in Hong Kong. Key items on the agenda include:

• FY25 Results & Dividend Shareholders will be asked to receive the audited financial statements for the year ended 31 December 2025 and approve a final dividend of HK$0.20 per share. The share register will close from 10 June 2026 to 12 June 2026; shareholders must lodge transfers by 9 June 2026 to qualify for the dividend.

• Board Composition The meeting will vote on the appointment of Mr Huang Jinchao as an executive director and the re-election of five directors: Mr Zuo Manlun, Ms Zuo Xiaoping, Mr Chen Guonan, Dr Song Keming and Ms Lu Jiandong. The board will also seek authority to determine directors’ remuneration.

• Auditor Re-appointment Ernst & Young is nominated for re-appointment as the Company’s independent auditor, with the board authorised to set its remuneration.

• Share Issue and Buy-back Mandates 1. General Issuance Mandate: Directors seek authority to allot and issue shares or securities convertible into shares up to 20% of the issued share capital (excluding treasury shares), with any placement price capped at a 10% discount to the benchmarked price. 2. Share Repurchase Mandate: Directors request approval to repurchase up to 10% of the issued share capital (excluding treasury shares).

• Memorandum & Articles Update A special resolution will be put forward to adopt an amended and restated Memorandum and Articles of Association.

• Administrative Details The share register will be closed from 26 May to 28 May 2026 for AGM attendance eligibility; transfers must be lodged by 22 May 2026. Proxy forms must be submitted no later than 48 hours before the meeting.
