TME Completes US$1.00 Billion Dual-Tranche Senior Notes Offering

Tencent Music Entertainment Group (TME) has closed its US$1.00 billion public offering of senior unsecured notes, according to an announcement dated 10 September 2026 (U.S. Eastern Time). The issuance comprises two equal tranches: US$500 million of 5.050% notes maturing in 2031 and US$500 million of 5.650% notes maturing in 2036.

After underwriting discounts, commissions and estimated offering expenses, TME secured net proceeds of approximately US$991.90 million. The company plans to deploy these funds for general corporate purposes, including the refinancing of existing offshore debt and share repurchases.

The notes have been registered under the U.S. Securities Act of 1933 and are expected to be listed on The Stock Exchange of Hong Kong on 11 September 2026.

J.P. Morgan Securities LLC, Goldman Sachs (Asia) L.L.C. and The Hongkong and Shanghai Banking Corporation Limited acted as joint bookrunners. UBS AG Hong Kong Branch, Bank of China Limited and MUFG Securities Asia Limited served as joint lead managers.

The offering was conducted under TME’s automatic shelf registration statement on Form F-3, with a related prospectus supplement filed with the U.S. Securities and Exchange Commission.
