MGM CHINA Announces Plan to Issue $750 Million Senior Notes Due 2033

MGM CHINA (02282) has announced that on May 6, 2026 (New York time), the company entered into a purchase agreement with Deutsche Bank AG, Singapore Branch, and J.P. Morgan Securities (Asia Pacific) Limited, as representatives of the initial purchasers, for the issuance of $750 million in aggregate principal amount of 6.250% senior notes due May 15, 2033. The company estimates that the net proceeds from the offering of these notes, after deducting discounts to the initial purchasers and other estimated offering expenses payable by the company, will be approximately HK$5.8011 billion or $739.9 million. MGM CHINA intends to use the net proceeds from the offering to repay a portion of the outstanding amount under its revolving credit facility and for general corporate purposes. The company will be permitted to re-borrow such amounts under the revolving credit facility. MGM CHINA proposes to seek the listing of the notes on the Stock Exchange of Hong Kong Limited by way of an offering of debt securities to professional investors only and has received eligibility confirmation from the Exchange for the listing of the notes. The admission of the notes to the Exchange and any quotation of the notes on the Exchange should not be taken as an indicator of the value of the company, the group, or the notes.
