Swire Properties Schedules 12 May 2026 AGM; Shareholders to Vote on Director Re-elections, Audit Tenure, Share Mandates and New Articles

Swire Properties Limited will convene its 2026 Annual General Meeting on 12 May 2026 at 09:00 a.m. in the Ballroom, Level 3, JW Marriott Hotel Hong Kong, Pacific Place, 88 Queensway, Hong Kong.

Key matters to be decided are as follows:

1. Board composition • Re-election of three directors: – Choi Tak Kwan Thomas – Lim Siang Keat Raymond – Wu May Yihong

2. Audit oversight • Re-appointment of PricewaterhouseCoopers as external auditor and authorisation for the board to fix the audit remuneration.

3. Capital management mandates • General mandate authorising directors to buy back the company’s shares. • General mandate authorising directors to allot, issue and deal with additional shares.

4. Corporate governance framework • Special resolution to approve and adopt a new set of Articles of Association.

Proxy arrangements • Shareholders may appoint Guy Martin Coutts Bradley, failing whom Timothy Joseph Blackburn, failing whom the chairman of the meeting, or any other designated person as proxy. • Valid proxy forms, accompanied by any relevant power of attorney, must reach Computershare Hong Kong Investor Services Limited, 17M Floor, Hopewell Centre, 183 Queen’s Road East, Hong Kong, no later than 48 hours before the meeting. • Completion and return of a proxy form do not preclude shareholders from attending and voting in person; physical attendance automatically revokes the prior proxy appointment.

Procedural notes • For joint shareholdings, the proxy form must be signed by the first-named holder in the register of members. • Corporate shareholders must execute the proxy under seal or through a duly authorised officer.

The resolutions, if approved, will renew Swire Properties’ authorisations for routine capital management and align its constitutional documents with updated regulatory and corporate governance standards.
