Vigonvita Life Sciences Co., Ltd. announced that incumbent auditor Deloitte Touche Tohmatsu will retire at the end of the 26 June 2026 annual general meeting after the two parties failed to agree on audit fees for the financial year ending 31 December 2026. Deloitte confirmed in a retirement letter that it has no matters requiring shareholder attention, and both the board and the audit committee reported no other disagreements or unresolved issues.
Following a selection process initiated in April 2026, the audit committee recommended appointing HLB Hodgson Impey Cheng as the new external auditor. The board approved the proposal on 4 June 2026, subject to shareholder endorsement at the upcoming AGM. The new mandate would run until the next annual general meeting.
The estimated audit fee agreed with HLB is approximately RMB 2.48 million, reflecting Vigonvita’s business scale, industry characteristics and audit workload. The company noted that, barring material changes in operations, accounting policies or regulation, the final fee is not expected to deviate materially from this estimate.
Vigonvita stated that Deloitte has not commenced any work on the 2026 annual audit, and the transition is not expected to affect the audit timetable or the publication of full-year results.
The audit committee assessed HLB’s independence, professional competence, staffing and audit plan, concluding that the firm meets all regulatory guidelines and can deliver a high-quality, cost-effective audit for the group. A shareholder circular containing full details of the proposed change will be distributed and published on the Hong Kong Stock Exchange and company websites.
