Jiangxi Copper Company Limited has issued a proxy form inviting its H-shareholders to attend a dedicated class meeting on 7 August 2026 at 3:00 p.m. in the company’s conference room at JCC International Plaza, 7666 Chang Dong Avenue, Nanchang, Jiangxi, PRC. The session will begin immediately after the conclusion of the A-shareholders’ class meeting held the same day.
The sole agenda item is a special resolution to approve “Providing Assured Entitlement to the H Shareholders of the Company Only in Connection with the Spin-off and Listing of Subsidiary JCC Copper Foil on the Main Board of The Stock Exchange of Hong Kong Limited.” Shareholders are asked to vote “For,” “Against,” or “Abstain,” with abstentions excluded from the vote count.
H-share investors unable to attend in person may appoint a proxy—who need not be a shareholder—by submitting a completed and signed form to Computershare Hong Kong Investor Services Limited (17M Floor, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong). The form, together with any required power of attorney or authorisation documents, must arrive no later than 24 hours before the meeting’s scheduled start.
If no proxy name is specified, the meeting chairman or any company director will act as proxy. Where shareholders wish to split their vote, the exact number of shares must be stated on the form; otherwise, the proxy may vote at their discretion on all registered shares.
The forthcoming vote is a procedural step in Jiangxi Copper’s plan to list its subsidiary, JCC Copper Foil, on the Hong Kong Stock Exchange’s Main Board, ensuring that existing H-shareholders receive an assured entitlement in the transaction.
