Comba Telecom Sets 14 May 2026 AGM; Eyes Director Re-elections, 20% Issue Mandate, 10% Buyback and Constitution Overhaul

Comba Telecom Systems Holdings Limited will convene its annual general meeting on 14 May 2026 at 11:00 a.m. (Hong Kong time) at Unit 611, Building 8W, Hong Kong Science Park.

Key resolutions:

1. Board Composition • Five directors—Huo Xinru, Chang Fei Fu, Ye Ka, Ng Yi Kum and Tan Khee Giap—stand for re-election. • The board confirms the independence of Ng Yi Kum and Tan Khee Giap.

2. Auditor • Ernst & Young is nominated for re-appointment for the financial year ending 31 December 2026, with remuneration to be set by the board.

3. Capital Mandates • General issue mandate: authority to allot, issue or transfer shares (including any treasury shares) up to 20% of issued share capital, equal to a maximum of 626.43 million shares based on the current 3.13 billion issued shares (excluding treasury shares). • Repurchase mandate: authority to buy back up to 10% of issued shares, or 313.21 million shares. • Extension mandate: shares repurchased under the 10% mandate can be added to the 20% issue limit.

4. Constitutional Amendments • Adoption of a new memorandum and articles of association to: – introduce a treasury-share regime; – enable fully virtual or hybrid shareholder meetings; – permit electronic dissemination of corporate communications and electronic payment of dividends; – update housekeeping provisions to align with Cayman Islands law and Hong Kong Listing Rules.

Administrative timetable:

• Removal of shares between Hong Kong and Singapore registers closes at 4:00 p.m. on 27 April 2026. • Hong Kong share register closes from 9 May 2026 to 14 May 2026 (both dates inclusive). • Proxy forms must reach Computershare Hong Kong Investor Services by 11:00 a.m. on 12 May 2026; Singapore depositors must lodge proxy instructions with In.Corp Corporate Services by the same deadline.

All resolutions will be decided by poll, with results released post-meeting via Hong Kong and Singapore exchange platforms.
