B&K Corp. Plans Articles Overhaul and Abolition of Supervisory Committee

B&K Corporation Limited announced a proposal to revise its Articles of Association, chiefly to align with updated PRC company regulations and to strengthen corporate governance.

Key changes: 1. Regulatory alignment – The revised Articles incorporate recent amendments to the PRC Company Law and the Guidelines for Articles of Association of Listed Companies. 2. Governance structure – The supervisory committee will be abolished, with its duties transferred to the audit committee.

Implementation timetable: • A special resolution will be tabled at the annual general meeting scheduled for 22 June 2026. • The changes remain subject to shareholder approval and any necessary governmental or regulatory filings.

Board composition at the time of the announcement comprises four executive, two non-executive and three independent non-executive directors.

The company will issue a circular detailing the proposed amendments and the AGM notice in due course.
