TenNor Therapeutics amends Articles post-IPO, skips FY2025 dividend, reshuffles remuneration committee

TenNor Therapeutics (Suzhou) Limited announced three board resolutions on 8 June 2026:

1. Articles of Association updated after H-share listing • The company finalised its Articles of Association to align with its Main Board debut on the Hong Kong Stock Exchange (HKEX) completed on 22 May 2026. • Key figures now formalised include the issuance of 8.86 million H-shares at a par value of RMB1.0 each, approved by HKEX on 21 May 2026. • Registered capital before the offering stood at RMB43.47 million, increasing total share capital to 52.33 million shares post-listing. • Editorial adjustments also clarify the scope of board authority and correct exchange references.

2. No final dividend for FY2025 • After reviewing the audited 2025 results, the board resolved not to declare a final dividend, citing provisions in the PRC Company Law and the company’s Articles.

3. Board committee change • Non-executive director Dr. Song Gaoguang joins the Remuneration and Appraisal Committee with immediate effect, restoring compliance with the committee-composition requirements stipulated in its working rules.

TenNor Therapeutics’ board comprises one executive director (Dr. Ma Zhenkun), one non-executive director (Dr. Song Gaoguang) and three independent non-executive directors (Mr. Lee Wai Kong, Albert; Dr. Ni Lin; and Dr. Li Leping).
