Fantasia Holdings Group Co., Limited (Stock Code: 1777) entered into three agreements on 26 November 2025: the Twinkle Disposal Agreement, the Huahuo Disposal Agreement, and the Debt Assignment Agreement. According to the announcement, these transactions constitute a discloseable transaction under Chapter 14 of the Listing Rules, as the highest applicable percentage ratio exceeds 5% but is less than 25%.
Fantasia Holdings Group Co., Limited conditionally agreed to sell the entire equity interests in Twinkle Electronic Company Limited ("Twinkle") and Shenzhen Huahuo Innovation Industry Operation Management Co., Ltd. ("Huahuo"). The consideration for the Twinkle disposal is RMB30,000,000, while the Huahuo disposal is RMB1,000,000. Upon completion, the group will no longer hold any interest in Twinkle or Huahuo.
Twinkle holds approximately 60.67% of the equity interest in a property development company, Shenzhen Able Electronics Co., Limited, which owns Phase II of an industrial park in Longgang District, Shenzhen. An independent valuation indicates that the value of Twinkle’s equity interest stood at approximately RMB31,976,000 as of 30 June 2025. Meanwhile, Huahuo serves as a sublessor of the property and had paid-in capital of RMB1,000,000, with a net asset value not exceeding its paid-in capital.
Separately, Fantasia Holdings Group Co., Limited assigned a debt due by the project company in the amount of RMB56,609,000 to another purchaser for RMB48,000,000. The company expects to realize a net gain of around RMB7,260,000 from the combined disposals, strengthening its cash flow and increasing working capital. The directors consider the terms fair and reasonable under current market conditions, with the proceeds intended for general working capital purposes.
