CGII HLDGS Announces Board Leadership Changes, Appoints Song Jiajun as Executive Director and Chairman

CGII HLDGS (HKEX: 01940) has announced a series of changes to its board of directors, effective from June 26, 2026.

Mr. Song Jiajun has been appointed as an Executive Director, Chairman of the Board, and Chairman of the Nomination Committee.

Mr. Li Jun has been appointed as a Non-Executive Director.

Mr. Song Changjiang has stepped down from his roles as Chairman of the Board and Chairman of the Nomination Committee due to his decision to dedicate more time to other commitments. He will, however, continue to serve as an Executive Director and has been re-designated as the Vice Chairman of the company's Nomination Committee, also effective June 26, 2026.

The board has further noted that, as clarified in the announcement of the offer's closing, Mr. Chen Tianyi will be appointed as a Non-Executive Director, not as an Executive Director as previously disclosed in the composite document, due to other personal and business commitments.
