Xinyi Solar Sets 29 May 2026 AGM; Board Seeks Approval for HK$0.008 Final Dividend and Standard Mandates

Xinyi Solar Holdings Limited will convene its annual general meeting (AGM) on 29 May 2026 at 10:15 a.m. (Hong Kong time) on the 21st floor of Rykadan Capital Tower, 135 Hoi Bun Road, Kwun Tong, Kowloon.

Key resolutions to be tabled include:

1. Financial Statements & Dividend • Shareholders will be asked to receive the audited financial statements and directors’ and auditor’s reports for the year ended 31 December 2025. • The Board proposes a final cash dividend of 0.8 Hong Kong cents per share for FY2025.

2. Board Composition & Remuneration • Re-election of three directors: – Dr. Lee Yin Yee (Non-executive) – Tan Sri Datuk Tung Ching Sai (Non-executive) – Mr. Li Man Yin (Executive) • Authorisation for the Board to determine directors’ remuneration.

3. Auditor • Re-appointment of Ernst & Young as external auditor until the next AGM, with the Board authorised to fix the audit fee.

4. Share Capital Mandates • A general mandate allowing the Board to repurchase shares. • A general mandate permitting new share issues. • An extension of the issue mandate equal to the number of shares repurchased under the repurchase mandate.

Shareholders who wish to vote by proxy must submit completed forms to Computershare Hong Kong Investor Services Limited no later than 10:15 a.m. on 27 May 2026. Attendance and voting in person at the AGM remain available to registered shareholders.
