Dassault Systèmes has entered into an agreement to acquire ARIIS Global, a US-based life sciences software provider, from Nordic Capital for a total consideration of up to $2 billion.
The transaction is anticipated to close in the second half of the year, pending regulatory approvals and other customary closing conditions.
Dassault Systèmes stated that this acquisition will enable the company to capitalize on the transformation within the life sciences industry, particularly the shift towards artificial intelligence and precision medicine.
The French software company announced on Thursday that it will pay approximately $1.8 billion in cash at closing, with an additional contingent payment of up to $200 million linked to performance milestones related to the AI business.
The company expects the deal to be accretive to both revenue and earnings per share starting from the first year following its completion.
Nordic Capital initially acquired a majority stake in ARIIS Global back in 2019.
