CaoCao Inc. Cuts Outstanding Shares by 1.16 Million in July; HK$30.92 Million Deployed for Share Buybacks

For the month ended 31 July 2026, CaoCao Inc. reported a net reduction of 1.16 million ordinary shares, bringing the company’s issued share count (excluding treasury shares) to 581.35 million. Total issued shares, including treasury shares, stood at 586.11 million.

Authorized share capital remained unchanged at 5 billion ordinary shares with a par value of USD 0.00001, equivalent to USD 50,000.

Share option activity • 874,056 new shares were issued under the November 2022 Pre-IPO Share Incentive Plan, generating proceeds of HK$1.63 million. • Outstanding options under the plan fell to 21.46 million after 874,056 exercises and 297,948 lapses.

Share repurchases • 2.03 million shares were bought back between 13 and 22 July at prices ranging from HK$14.14 to HK$16.42 per share. • Aggregate consideration for the buybacks reached approximately HK$30.92 million. • Repurchased shares are held as treasury shares, raising the treasury balance to 4.76 million shares (0.81 % of total issued share capital).

Public float Management confirmed compliance with the minimum public-float requirement of 19.01 %, consistent with the waiver outlined in the company’s June 2025 prospectus.

No changes were recorded in authorized capital, warrants, convertibles, or other share-issuance arrangements during the period.
