Wynn Macau Trims Convertible Bond Conversion Price to HK$8.68 After HK$0.223 Interim Dividend

15 September 2026 – Wynn Macau announced an automatic adjustment to the conversion price of its US$600.00 million 4.50% convertible bonds due 2029, triggered by the board’s declaration of an interim dividend of HK$0.223 per share.

The conversion price will be reduced by 3.9% from HK$9.02275 to HK$8.67530, effective 16 September 2026—the day immediately following the 15 September 2026 record date. The recalibration follows the bond terms that require a downward revision whenever a cash distribution is made to shareholders.

Assuming full conversion after the adjustment, the bonds would translate into approximately 542.90 million new shares, equivalent to 10.2% of Wynn Macau’s current issued share capital of 5.30 billion shares and 9.3% of the enlarged share base. All other terms of the convertible bonds remain unchanged.
