CEB BANK (06818) Receives Regulatory Green Light for Appointment of Two Independent Non-Executive Directors

China Everbright Bank Company Limited (CEB BANK, 06818) announced that the National Financial Regulatory Administration (NFRA) approved the qualifications of Mr. Hu Xiang and Ms. Li Yingqi as Independent Non-executive Directors (INEDs) on 06 March 2026 and 12 March 2026, respectively. Their board and committee mandates take immediate effect.

The appointments follow the Board’s resolutions on 26 September 2025 and the subsequent shareholder approval on 14 November 2025. Under the new structure:

• Mr. Hu Xiang joins the Risk Management, Audit, Related Party Transactions Control, and Social Responsibility, Inclusive Finance Development & Consumer Rights Protection Committees.

• Ms. Li Yingqi becomes Chairwoman of the Audit Committee and a member of the Risk Management, Remuneration, and Related Party Transactions Control Committees.

Concurrently, former INEDs Mr. Huang Zhiling and Mr. Shao Ruiqing have stepped down upon expiry of their terms. Both confirmed no disagreements with the Board and no matters requiring shareholder attention.

The Board expressed appreciation for the outgoing directors’ contributions and formally welcomed the two new INEDs. CEB BANK’s Board now consists of 3 Executive Directors, 6 Non-executive Directors, and 6 Independent Non-executive Directors.
