Risecomm Issues Clarification on Connected Transactions; Notes Name Change of Haihua Owner

Risecomm Group Holdings Limited released a clarification regarding its earlier announcements on 27 May 2026 and circular on 31 August 2026 that covered:

1) Connected transactions involving the proposed issuance of capitalisation shares and convertible bonds under a specific mandate. 2) The placing of new shares under the same specific mandate.

The company states that, as at the dates of the original announcement and circular, the owner of Haihua—originally disclosed as Mr. Zhang Yunlong—had already changed his name to Mr. Zhang Junting. All other details in the previous documents remain unchanged.

The notice was authorised by Executive Director Ms. Ye Bailing on 25 September 2026. As of that date, the board comprised Executive Directors Mr. Tsang Wah Tak, Brian and Ms. Ye Bailing; Non-Executive Directors Ms. Guo Lei and Mr. Yu Lu; and Independent Non-Executive Directors Mr. Victor Yang and Ms. Lo Wan Man.
