Hong-Kong-listed Hua Hong Grace Semiconductor Limited secured strong shareholder backing for two key remuneration proposals at its Extraordinary General Meeting (EGM) on 22 October 2026.
Resolution 1 – Adoption of New Share Option Scheme • Votes in favour: 952.52 million (91.61%) • Votes against: 85.54 million (8.23%) • Abstentions: 1.68 million (0.16%)
The scheme caps grants at 10% of the 1.93 billion shares in issue as of the EGM date and allows the Board to refresh this limit via future shareholder approval. The Stock Exchange of Hong Kong and the Shanghai SASAC must endorse the scheme before it becomes effective.
Resolution 2 – Grant of up to 52.14 Million “2026 Options” • Votes in favour: 953.46 million (91.70%) • Votes against: 84.59 million (8.14%) • Abstentions: 1.68 million (0.16%)
The 2026 Options will be issued under the newly adopted scheme and are included within the same 10% share cap. Directors are authorised to administer, amend and execute all matters related to both the scheme and the option issuance.
Participation and Governance • Total shares entitled to vote: 1.93 billion (598.52 million RMB shares; 1.33 billion Hong Kong shares). • No shareholders were required to abstain, and none indicated specific voting intentions prior to the meeting. • Tricor Investor Services Limited acted as independent scrutineer. • Attendance: Chairman and President Dr. Peng Bai was present in person; six other directors participated via video conference.
With both resolutions surpassing the 50% threshold, Hua Hong Grace gains flexibility to incentivise management and employees through equity-based awards equal to up to 10% of its issued share capital, reinforcing alignment between stakeholders and corporate performance.
