Cyxtera Technologies on Monday said Scott Vogel was elected to serve as a director and that it had expanded the size of its board of directors to 10 people from nine.
Mr. Vogel was appointed as part of a restructuring support agreement between the company and BC Partners and SVAC Sponsor, or the Starboard Sponsor, who waived some provisions of a stockholders agreement from July of 2021, the company said.
The waiver deal stated that following the resignation of Jeffrey Smith in March of this year Starboard Sponsor had the right to designate a person for election to the board. Mr. Vogel's appointment won't fill the open board vacancy for a Starboard Designee, according to the waiver deal.
Mr. Vogel is the managing member at the private investment and advisory firm Vogel Partners LLC, Cyxtera said.
Cyxtera said it provides global colocation, rapid connectivity and digital infrastructure.
