IN CONNECTION WITH MERGER, REMAINING OUTSTANDING SHARES WILL BE CONVERTED INTO RIGHT TO RECEIVE $1.90 PER SHARE, NET TO SELLER IN CASH, WITHOUT INTEREST AND LESS ANY APPLICABLE WITHHOLDING TAXES (WHICH IS SAME AMOUNT PER SHARE PAID IN OFFER)
