Assure Holdings said Monday it has an agreement to sell some of its assets to MPOWERHealth for up to $4.5 million.
The assets include most of the company's healthcare facility contracts and clinical equipment and a majority of Assure's employees. Assure will retain its accounts receivable and its employees in the revenue cycle management team.
The intraoperative neuromonitoring and remote neurology services provider would receive $2.5 million in cash at the closing and up to $2 million more tied to case volume from the acquired assets during 12 months after the closing.
Executive Chairman and Chief Executive John Farlinger said the sale allows Assure to repurpose its business and close its merger with Danam Health. After the merger, Assure plans to change its name to Danam Health Holdings and the combined company would remain listed on the Nasdaq exchange.
Based in Addison, Texas, MPOWERHealth serves more than 400 physicians, 55,000-plus patients and over 300 facilities in 24 states.
