Astrana Health (ASTH) said Friday it agreed to acquire certain businesses and assets of Prospect Health System for $745 million in a deal expected to close in the middle of 2025.

The acquisition includes the California licensed health care service plan Prospect Health Plan, medical groups in four states, the Prospect Medical Systems management service organization, RightRx pharmacy, and Alta Newport Hospital doing business as Foothill Regional Medical Center, Astrana said.

In a separate statement, Medical Properties Trust (MPW) said it expects to receive net proceeds of about $200 million from the deal after obligations to the senior creditor and other liabilities have been satisfied.

Medical Properties Trust, a hospital real estate owner, said it expects to get majority of the cash in H1 of next year and $50 million by 2027.
