Respiri (ASX:RSH) has entered an agreement to acquire Texas-based healthcare service provider Orb Health for $9 million through the issue of shares, according to a Tuesday filing with the Australian bourse.
The deal includes potential additional payments based on Orb Health's financial performance in 2025 through the issue of additional shares, the filing said.
Under the agreement, Orb Health will also invest AU$1.1 million by subscribing for additional fully paid ordinary shares. Orb Health's Annual Recurring Revenues (ARR) for 2024 are expected to be $4.2 million.
The acquisition is anticipated to generate AU$3.5 million in synergies and over AU$2 million in cross-selling opportunities during the first 12 months of operations, the filing added.
