PENN Entertainment Files Report Backing Smaller Board in Response to Lawsuit

PENN Entertainment (PENN) said in a regulatory filing Wednesday that it has filed a special litigation committee report with a Pennsylvania court in response to a lawsuit filed by HG Vora Capital Management and other plaintiffs' claims that the company breached its fiduciary duties when it reduced the size of its board.

The company said that the report found that the company's board "acted on an informed basis, in good faith and for the best interests" of the company in its decision to reduce the overall size of the board to eight from nine.

The company also said that the report concluded that it would not be in the best interests of the company to pursue HG Vora's claims.
