*GLOBAL STRATEGY WILL CONTRIBUTE BUSINESS UNIT INTO A NEW WHOLLY-OWNED NEWCO, TO BE NAMED GLOBAL STRATEGY
*ABC COMPANY WILL ACQUIRE 100% OF NEWCO
*CLOSING EXPECTED IN Q1 2026
